Limitation of Liability

Our total liability for any claims arising from or related to these terms or our services shall not exceed the amount you have paid to DataGuard in the twelve months preceding the claim, or one hundred Euros (€100), whichever is greater.

Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will be uninterrupted, error-free, or completely secure, or that defects will be corrected. Your use of our services is at your own risk.

Indemnification

You agree to indemnify, defend, and hold harmless DataGuard and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney fees) arising out of or related to your use of our services, violation of these Terms of Service, infringement of any intellectual property or other rights, or any harmful or illegal conduct.

Governing Law and Dispute Resolution

Applicable Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising from or related to these terms or our services shall first be attempted to be resolved through good faith negotiations. If negotiations are unsuccessful, disputes shall be subject to the exclusive jurisdiction of the courts of Nicosia, Cyprus.

Class Action Waiver

You agree to resolve disputes with DataGuard on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

General Provisions

Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any additional service agreements, constitute the entire agreement between you and DataGuard regarding the use of our services and supersede any prior agreements.

No Waiver

Our failure to enforce any right or provision of these terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of DataGuard.

Assignment

You may not assign or transfer these Terms of Service or your rights hereunder without our prior written consent. We may assign these terms to any affiliate or successor without restriction.

Terms Modification Policy

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Material changes will be communicated through our website or other appropriate means. Your continued use of our services after changes are posted constitutes acceptance of the modified terms.
